Terms and Conditions of Service

These Terms govern access to and use of ProleadSync. By creating an account, signing in, activating a paid plan, or using any platform feature, you accept these Terms, the Privacy Policy, the Cookie Policy and, where applicable, the affiliate programme terms.

1. Service provider identification

ProleadSync is operated by Rodrigo dos Santos Silvano, Portuguese tax number 275096688, with address at Rua Quinta do Pincho Lote B8 R/C Direito, 6300-420 Guarda, Portugal. 2. Scope of the service

ProleadSync is a SaaS service for researching, analysing and organising public profiles and commercial signals connected with the Instagram and Threads ecosystem, with additional features for reports, history, notifications, scheduling, billing, affiliate management and AI-assisted tools.

ProleadSync does not send automated messages on your behalf, does not access private messages, does not bypass private areas of social networks and does not replace your obligation to comply with the law, third-party platform rules and the rules applicable to commercial communications.

3. Account, plans and billing

To use authenticated areas of ProleadSync you must create an account with true, complete and up-to-date data. You are responsible for keeping your credentials confidential and for all activity carried out through your account.

BASIC plan: costs €5.00 per month or €50.00 per year and keeps the limits previously associated with the free plan.
PRO and ULTRA plans: cost €25.00 and €45.00 per month respectively, with annual options of €250.00 and €450.00.
Trial: each new customer may use ULTRA access for 15 days, once per account and billing identity. A payment method is required and the subscription converts to the selected plan at the end unless cancelled beforehand.
Pro plan: the applicable price and features are those shown on the pricing page and checkout when you subscribe. The current reference is €25.00 per month.
Renewal: paid subscriptions renew automatically for consecutive periods of the same duration unless cancelled before the next renewal date.
Trial: whenever a trial period exists, its conditions, duration and transition to a paid plan are shown when you subscribe.

Before you complete a paid order, ProleadSync presents the essential pre-contract information, including price, renewal cycle, cancellation method and refund rules. By confirming a purchase, you acknowledge the payment obligation attached to the final confirmation button.

4. Permitted use and restrictions

You agree to use ProleadSync lawfully, diligently and consistently with the purpose of the service. The following is prohibited in particular:

using ProleadSync for spam, harassment, stalking, discrimination, defamation or unlawful data collection;
sharing access outside your organisation or reselling accounts without written permission;
attempting to copy, decompile, reverse engineer, extract code, bypass technical limits or test security without authorisation;
using data obtained through ProleadSync in breach of the GDPR, ePrivacy rules, third-party terms or applicable legal orders.

ProleadSync may suspend or terminate accounts in the event of a breach of these Terms, security risk, fraud, technical abuse, non-payment or legal obligation.

5. Data, integrations and processors

ProleadSync processes personal data as described in the Privacy Policy. When you use the platform to research, organise or analyse third-party public profiles and contacts, you act as controller of your own prospecting operations and ProleadSync generally acts as the technical processor of that activity. ProleadSync acts as controller for the data needed for account management, billing, security, support, abuse prevention, consent management and legal compliance.

Depending on the activated features, the service may rely on hosting providers, Stripe for payments, MailerLite for communications and marketing preferences, Google for calendar integrations, Telegram for notifications and OpenAI or OpenRouter for AI-assisted features. These third parties only process the data necessary for each feature.

6. Consumers, cancellation, ADR and complaints

The rules on cancellation, refunds and the right of withdrawal are set out in the Cancellation and Refund Policy, which forms part of these Terms.

If you contract ProleadSync as a consumer, you may use an alternative dispute resolution entity. Without prejudice to the jurisdiction of any other legally competent entity, we provide as a reference the CNIACC - National Consumer Conflict Information and Arbitration Centre at www.cniacc.pt. You may consult the official and updated list of ADR entities at consumidor.gov.pt.

7. Intellectual property and availability

All rights in the software, brand, interface, database structure, proprietary content and documentation of ProleadSync belong to their respective owner or licensors. These Terms do not transfer any ownership right over the platform.

ProleadSync seeks to ensure reasonable availability and continuity, but does not guarantee uninterrupted operation or specific commercial results. The service also depends on third-party services, APIs and platforms, which may change technical or access rules at any time.

8. Liability and governing law

To the fullest extent permitted by law, ProleadSync is only liable for proven direct losses resulting from attributable breach and its aggregate liability is limited to the amount paid by the user in the three months preceding the event giving rise to the claim, without prejudice to mandatory consumer rights.

These Terms are governed by Portuguese law. Where the law does not require a different solution, disputes shall be submitted to the competent Portuguese courts.

9. Transition for existing accounts

Users affected by the end of the free plan must activate a plan by 25 August 2026 at 23:59 Lisbon time. Without an active subscription, the account is suspended, may be recovered until 1 September 2026 at 23:59, and operational data are erased from 2 September 2026. Before each suspension or erasure, ProleadSync reconciles the subscription status. Tax documents subject to statutory retention remain isolated, with restricted access and unnecessary data minimised.
